TERMS & RESPONSIBILITIES

 |  Workflow and timeline. The Provider will begin after receiving the agreed deposit, required content, and access. Milestones and launch dates are estimates unless specifically agreed as fixed deadlines in writing. Client delays, missing materials, extra requests, or third-party outages may change the timeline; the Provider will communicate material changes promptly.

 |  Client participation. The Client will supply materials they are authorized to use, give accurate instructions, consolidate feedback, and review deliverables within [5] business days of request. The Client is responsible for obtaining relevant permissions, privacy notices, business disclosures, and any legally required website policies.

 |  Revisions and change requests. The project includes [number] rounds of reasonable revisions to the agreed scope. A revision adjusts work already included; a new page, function, integration, major redesign, or changed brief is a scope change. Additional work requires a written description, price, and revised timeline accepted by both parties before it begins.

 |  Testing, review and acceptance. The Provider will test the agreed core features on current mainstream browsers and common device sizes. The Client has [7] calendar days after delivery notice to report material deviations from the acceptance criteria. The Provider will correct verified in-scope defects without an extra development fee. Acceptance occurs when the Client approves in writing or the review period expires without a documented material issue; this does not waive any separately agreed support or warranty obligations.

 |  Payment and late payments. Invoices are payable within [7] calendar days unless the invoice states otherwise. The Provider may pause uncompleted work after written notice if payment remains overdue, and will resume once the overdue amount is resolved, subject to scheduling. No late fee applies unless a specific lawful rate and grace period are stated here: [rate / terms or “None”].

 |  Intellectual property and handover. Each party keeps ownership of its pre-existing materials, tools, and know-how. Upon full payment, the Client owns the original website content and custom design/code created specifically for the Client, excluding pre-existing Provider components and third-party products, which remain subject to their respective licenses. The Provider grants the Client a perpetual license to use any embedded Provider-owned components as part of the delivered website. Handover includes agreed source files, credentials, and administrator access listed in the scope.

 |  Hosting, domain and external services. Domain registration, hosting, paid tools, and third-party accounts will be registered or controlled by [Client / Provider on Client’s behalf]. Their fees, acceptable-use rules, and availability are governed by their providers. Unless a maintenance plan is selected, routine updates, security monitoring, content edits, backups, and recurring subscription payments after handover are the Client’s responsibility.

 |  Maintenance plan. If selected, maintenance includes: [updates / backups / monitoring / support hours / response target]. The monthly fee covers only these listed tasks. Either party may end recurring maintenance with [30] days’ written notice, subject to any prepaid non-refundable third-party charges disclosed in advance. Maintenance does not include unlimited redesigns, major upgrades, or new integrations unless expressly stated.

 |  Confidentiality and access. Both parties will protect non-public business information and restrict sharing to people who need it for the project. The Provider will use reasonable care with logins and personal data and return or securely remove access not needed after handover. Separate data-processing terms may be needed if the Provider handles personal data on the Client’s behalf.

PROJECT PROTECTION & APPROVAL

 |  Warranty and limitations. For [30] days after acceptance, the Provider will fix reproducible defects that cause delivered features to depart materially from the agreed scope, at no additional development charge. This excludes problems caused by Client changes, third-party outages, unsupported plugins, or changes outside the project. The Provider does not guarantee search rankings, specific traffic, sales, or uninterrupted availability.

 |  Liability. Each party is responsible for its own breach, negligence, and unlawful acts. To the extent permitted by applicable law, neither party is liable for indirect or consequential losses such as lost profits. The Provider’s aggregate liability for claims arising from this agreement is limited to the project fees paid in the preceding 12 months, except for fraud, willful misconduct, or liabilities that cannot legally be limited.

 |  Cancellation and refunds. Either party may terminate for material breach if the breach is not corrected within [10] business days after written notice. The Client may cancel for convenience at any time by written notice and must pay for documented work completed and approved non-cancellable expenses through termination. Any unused advance beyond those amounts will be refunded within [14] calendar days. The Provider will share completed paid-for work in a usable format.

 |  Communication and disputes. Project approvals, scope changes, and notices must be documented by email or another agreed written channel: [channel]. Both parties will first try to resolve disputes through good-faith discussion within [14] days before taking formal action. Governing law and dispute venue: [Jamaica / other mutually agreed jurisdiction].

 |  Agreement documents. This contract, the selected package, the written scope/proposal, and any signed change orders form the agreement. If they conflict, the most recently signed change order controls its specific subject, followed by this agreement and then the proposal. Any amendment must be accepted in writing by both parties.
